Takaful and Shariah Concepts
Tawarruq is a financing facility that is designed to provide cash financing to the customers for personal consumption/ use which does not contravene with the Shariah principles. Generally, this product is based on Tawarruq as its underlying Shariah concept for provision of financing.
The financing structure under the Tawarruq arrangement involves the combination of Wa’d Mulzim, Murabahah, Wakalah and Bai’ Wadhi’ah contracts.
Tawarruq consists of two sale and purchase contracts where the first involves the sale of an asset by a seller to a purchaser on a deferred basis. Subsequently, the purchaser of the first sale will sell the same asset to a third party on a cash basis.
Murabahah refers to a sale and purchase of an asset where the acquisition cost and the mark-up are disclosed to the purchaser.
Wakalah means a contract in which a party (muwakkil) authorises another party as his agents (wakil) to perform a particular task, in matters that may be delegated, either voluntarily or with imposition of fee. Wa’d refers to an expression of commitment given by one party to another to perform certain action(s) in the future.
Bai’ Wadhi’ah is a sale contract whereby the asset / commodity is sold at lower price than the cost incurred by the Customer.

History in Brief
The origin of Malaysia Building Society Berhad can be traced back to the Federal and Colonial Building Society Limited incorporated in 1950. In 1956, it changed its name to Malaya Borneo Building Society Limited (MBBS), with the Malaysian government as its major shareholder. MBBS was then listed on the Stock Exchange of Malaya and Singapore in August 1963.
The company became an incorporation in Malaysia under the Companies Act 1965 on 17 March 1970, before it was listed on the Kuala Lumpur Stock Exchange, now Bursa Malaysia on 14 March 1972. The Employees Provident Fund (EPF) is currently the holding entity of MBSB.
Corporate Highlights
Has been granted with an exemption under Section 7(4) of the Borrowing Companies Act 1969 (BCA). As a result of the change from BCA to Finance Companies Act (FCA), all references to borrowing business and borrowing company were to be construed respectively as finance business and finance company. The FCA was later repealed by Banking and Financial Institutions Act 1989 (BAFIA). The BAFIA has been repealed and replaced with FSA 2013.
On 6 November 2017, entered into the Share Purchase Agreement with the shareholders of Asian Finance Bank Berhad (“AFB/Vendors”) for the proposed acquisition by MBSB of the entire equity interest in AFB for an aggregate purchase of RM644,952,807.66 to be satisfied by way of cash amounting to RM396,894,036.26 and the issuance of 225,507,974 Consideration Shares at an issue price of RM1.10 per Consideration Share (“the Acquisition”).
The Acquisition was approved by the shareholders on 23 January 2018. The shareholders also approved the transfer of Shariah Compliant Assets and Liabilities of MBSB to AFB via a Members’ Scheme of Arrangement. Pursuant to the abovesaid approval and upon completion of the transfer of shares and the payment of the balance of the purchase consideration to the Vendors, AFB became a wholly owned subsidiary of MBSB on 7 February 2018. AFB undertook a rebranding exercise on 2 April 2018 and changed its name to MBSB Bank Berhad.

Hartani-i provides financing facility to the Government Servant or Private Sector Employees and Stable Income Earner for the purpose to purchase agriculture land. Purchase of land includes directly purchase from the vendor or through public auction or purchase of land that will be or have been auctioned by Bank Pertanian Malaysia Berhad. The Bank will only consider the financing if the land to be purchased has the individual title or the land has been sub-divided and/or the land which individual title is to be issued.
Ar-Rahnu
Pembiayaan Ar-Rahnu is a short-term Islamic Pawnbroking Facility that provides customer with instant cash access by accepting gold items as collateral.
AgroCash-i
AgroCash-i is a personal financing facility for customers for the purpose of consumer financing mainly related to agriculture and agro-based activity. The implementation of the product is based on Tawarruq transactions.
